USER AGREEMENT

 

Description of Users

 

CLIENT                          

USA merchants who are authorized and eligible to accept credit card payments under their business entity/organizations.

Account holders as a client who use BRIDGE BASIS LLC web services and all affiliated services.

Submit their company information and related documents to BRIDGE BASIS web service platform at occasions.

Owns & holds liability and full responsibility of all submitted documents under the same account.

INCOGNITO CLIENT   

A status type that applies to all users as a client. None of the clients' contact information is exposed to other users except for "Single Claimant Provider". (please see "claimant provider" description below).

 

PROVIDER                       

USA registered merchant services providers or individuals who perform professional sales services under merchant service companies.

Account holders as a provider who use BRIDGE BASIS LLC web services to seeks & pursue to start a sales relationship with Clients.

CLAIMANT PROVIDER

A status type when the provider accepts client’s term & conditions and become eligible to receive client’s contact information.

A status that is entitled to receive the same client’s all related documents via email for perform financial analysis.

 

BINARY ACCOUNT

Account holders who use BRIDGE BASIS LLC web services and all affiliated services by opening two accounts: 1. as a client 2. as a provider. 

*** Restrictions may apply. Bridge Basis LLC has a right to cancel, suspend or permanenetly delete binary account holder's accounts at any time if users do not compliy with Bridge Basis policies.

 

BRIDGE BASIS

Our Company – BRIDGE BASIS LLC.

Owner of all Bridge Basis web services, all idea and all affiliated web services.

 

 

Bridge Basis Service & Web Features

 

Market Place (MP):                    The online platform for providers to review and claim merchant service requests.

Market Place Item (MPI):          An information box (product) that displays merchant service request information.

Active Review (ACRE)                The status of the "Market Place Item" between the moment it is listed in the marketplace and the time it is claimed by a provider.

Request ID (RID):                        A unique identification number that is assigned to each client’s submission for a merchant service request.

Client ID (CID):                            The identification number that is assigned to each registered users as a “Client".

Provider ID (PID):                       The identification number that is assigned to each registered users as a “Provider".

Client Agreement

 

1.       Clients agree that BB provides web services which only creates an opportunity between clients and providers to get connected for business purposes.

2.       Clients use BB web service and all affiliated features for free.

3.       Clients must be aware that providers who use our web service are completely separate companies or individuals from BB. BB has no affiliations with any users and their offers including their pricings and promotions.

4.       BB does not favor clients against providers and/or providers against clients at all times. 

Clients and providers must be aware that BB is not a guarantor or responsible for any MS offers that are provided by CP.

5.       When submitting documents (such as MSS or current MS contracts), clients agree to all BB terms & conditions and authorizes BB to;

          a.       Review all submitted documents.

          b.       May or may not perform some applicable restrictions on these documents (for example: black out some areas where company contact information might appear).

          c.       Shares with CP via email once MPI is properly claimed.

***BB aims to protect each client’s information from any unwanted solicitation. However, due to countless - different types of documents, BB may be unable to black out some or all information. BB cannot be held liable if some or all information might be visible when CP receives these documents.

6.       When submitting documents on our website, each client is fully responsible for any copyright, trademark, confidentiality or other type of violations between business partners, stakeholder or between individuals and companies. BB encourages every client to clarify the possible conflict before submitting any documents.

7.       BB does not share clients' information with 3rd party entities. Only registered user - "CP" can receive client’s contact information (please read privacy policy agreement for details).

8.       Each client can only sign up & use BB web services as a single location - a single business entity.

***If a client has multiple locations and if each location needs to receive separate MS, BB recommends to start separate application since each location may be in need of different terms and conditions. If client has a unique situation, you should contact BB via email at [email protected]

9.       When the provider becomes the CP, BB shares these documents on behalf of the client. Client must be aware that;

          a.       The CP may or may not review these documents.

          b.       The CP who may or may not contact you at the given time/date that the client has requested. BB is not responsible if CP chooses to contact the client at a different time/date or chooses to utilize different contact sources. Please note that BB only provides contact information to CP from what was provided by the same client to BB.

10.   Clients agree that they will be contacted by CP who claimed the MPI. Bridge Basis cannot be held liable on any action and/or results that may occur between clients and providers.

11.   With given information on hand, BB analysts perform basic analysis on each document to gather best estimated findings. BB cannot be held liable if these findings are not accurate enough when CP provides their offer. Please note that BB encourages every CP to perform their own studies on a given information and/or documents. Additionally, BB  encourages all clients to provide as much information as possible for CP to get the most optimum solution for MS offer.

12.   Clients can request to remove marketplace posting as long as the document is not under ACRE.

13.   Clients have the right to accept or refuse any CP offers with no obligations.

If the offer is not accepted, the client can re-activate the same RID by emailing BB at [email protected]

14.   Clients must be aware that CP may be (coincidently) their former MS provider. If so, clients should still allow CP to present their proposals by showing commitment on listening and understanding their offer.

15.   It is recommended that the client should print out their full RID after submission.

If a sales meeting occurs face to face with the CP or under any other communication platform (phone call & email), it is recommended that the client should go over listed terms & conditions with CP.

If client and/or CP wants to re-negotiate on current terms, BB encourages clients to update anything on the same print out and have CP sign the same documents to prevent any future service interruption and/or conflicts.

If any violation occurs between users that was created under the same RID#, BB cannot be held liable or responsible. Both client and CP must utilize their own sources to resolve the issue.

BB is not responsible for any action, result or disagreements that may arise between client and CP when before, during or after the final negotiation takes its place.

Clients are highly encouraged to achieve all related documents in their possession.

16.   To protect client’s privacy in the marketplace, all clients' contact information including company names are kept  encrypted. Providers can only see client’s contact information once they agree with client’s terms and condition along with BB policies and become a CP.

17.   MP platform is designed and created for registered users of providers and BA accounts to find and review client’s requests. Even though clients are not featured to use MP, they can still access it at anytime.

18.   -Time to time- BB remind all users to update their profile. BB is not responsible, if any provider(s)  information that is outdated.

BB is also not responsible if any provider(s) place any information that is falsified, misled, asymmetric, unethical, or unlawful under their own profile. 

19.   If a client's company is getting sold, transferred or ceased their operation while their MS request is still active and a provider already claimed MPI, they might still contact you. BB cannot be held liable if this action creates conflicts with the new business entity’s terms, rules and conditions.

20.   All users must honor and respect the privacy rights of other users under BB platform. Users are strictly restricted to publish or share other users’ information with third-party individuals and organizations.

21.   When a Provider become CP, an auto-email is sent to CP that includes followings;

         a.       Client’s contact information and all other processing information under MPI.

        b.      Client- created terms.

         c.       Documents that client submitted during the application.    

22.   When register or sign up, clients agree all BB policies that includes client, provider, basic user agreements and our privacy policies.

 

 

Provider Agreement

 

1.       Providers agree that BB provides web services that only creates an opportunity for clients and providers to get connected under the BB platform.

2.       BB does not collect fees or payments from clients either direct or indirect. It is strictly prohibited if any providers attempt to collect fees or payments from those clients on behalf of BB. In the event of a violation of these terms, provider's account will be terminated permanently.

3.       Providers must be aware that clients who use our web service are completely separate companies or individuals from BB. BB has no affiliations with any users.

4.       BB does not favor clients against providers and/or providers against clients at all times.

          All users must be aware that BB is not a guarantor or responsible for any MS offers, transactions or sales between users.

5.       Providers as a business entity: If you registered our website a business entity (not as an individual sales representative) you are -additionally- required to follow terms below;

          a.       In the event of your company being sold, joining another company and/or transferring assets to another company, new owners/partners/affiliates accept that BB cannot be held liable if using BB web services create conflicts with new business terms, rules and regulations

          b.       Some providers may choose to claim and transfer MPI information to their sales associates. If this option is taken, you declare that your sales representative becomes an official CP & accepts and agrees to all BB policies whether they are registered users of BB or not.

6.       Providers an individual: If you registered as an individual sales associates and representing a merchant service company, you are -additionally- required to follow terms below;

          a.       If you are an independent sales representative and work for more than one merchant service provider, please register only your primary employer under BB.

          b.       Currently, BB only authorizes each provider to open a single account. BB does not allow multiple provider accounts under the same sales representative or an organization. If multiple account is detected, you will be notified to choose your primary account and update it within 72 hours after our notification is sent to your email. BB has a right to deactivate and/or remove all your accounts without providing any warning or notifications if a provider does not respond to our notice in a given time frame. If providers continue on the same practice and keep openning multiple accounts, BB will remove all related accounts suspend the provider permanently.

          c.      To provide fair opportunity for all providers (users), BB limit number of claims per user on daily/weekly/monthly bases.

7.       All providers are expected to update their contact information frequently for accurate client relationships

8.       If you become an CP, you are strictly required to follow BB privacy policies. Any documents and client information that you receive must be protected and not shared or distributed to any other individual or an organization. (Providers as business entities has limited exceptions - please see #5b above)

9.       Once the provider become CP, BB sends auto-email to you that includes;

          a.       Contact information of Client

          b.       Related documents and entire MPI information  

*** BB may or may not send all or part of the documents due to numerous reasons. BB cannot be held liable if CP receives insufficient, wrong or inaccurate information and/or documents.

10.   In order to protect client’s privacy, providers must use secured email addresses, internet networks, computers and mobile devices when accessing their emails.

If CP chooses to print out MPI documents, they must not leave any documents in public areas. CP should also destroy these documents immediately after used. BB cannot be held liable in case of any form or way of data breach.

11.   Our system is designed to collect information from clients and pass these information to marketplace users. All providers must understand that BB may not be able to provide the most updated and accurate information about the client's current merchant service condition. All CP are highly encouraged to build rapport with their clients and continue to collect more information in order to prepare their most accurate sales proposal.  

12.   When register or sign up, providers agree to all BB policies that include client, provider and basic usage agreement and BB privacy policies.

13.   When register or sign up, providers must provide up-yo-date and accurate information. If a user provide misleading information intentionally or unethically, BB will delete user's account. BB may or may not contact user before deleting the account.

 

During CP and Client Meeting

14.   Sales Representatives only represent their employer. During the sales presentation, CP cannot include BB as a part of the sales meeting. If client requests more information about providers' relationship with BB,  CP should clearly explain that “BB has not affiliation with CP and their organization. BB only helps clients and providers to find each other under an online platform”.

Using BB’s name to convince a client or forcing them to accept or deny an offer is not acceptable.

15.   We expect all CP to provide high professionalism. Sales representatives who choose to use profanity, inappropriate behaviors and demanding communication sales models most likely fail on closing successful sales.

We encourage all CP to fully understand and respond to client's requests. These include;

          a.       Requested time and date of the proposal meeting

          b.       Client-Created Terms 

16.   If CP and client choose to create new added terms, change or update on the current terms, we strongly suggest CP to document these changes..

 

When using Market Place

17.   All Providers must be aware that BB algorithms are designed to spot and prevent certain unethical activities.

18. BB wants providers to read and understand all the MPI details and carefully anaylze & evaluate the current processing condition of the client. Providers must only accept MPI if the conditions of the MPI are within a feasible area where both providers and  client benefits.

19.   During MPI review, if you choose to click the “I agree” button, you agree with all these BB terms and the client-created terms under MPI. Following BB terms is a must and agreeing client’s terms are mandatory. However,

BB understands that there is no perfect match between client needs and MS provider capabilities. If some of client-created terms that are unfeasible but still manageable  to fulfill or re-negotiate, please provide the most transparent, educative and factual explanations to your client during your sales negotiation.

Providers must understand and accept that the client may or may not negotiate on your proposal or offer.

Providers must understand and accept that client may refuse your hear or listen CP proposal

20.   Providers must understand that Clients may still decline any offer even if CP accepted & agreed all MPI conditions.

BB cannot be held liable any type of loss occured due to client's refuse or decline of the proposal and offer.

21.   Providers must understand that client-created terms under MPI is treated as pre-contract for fee terms. In the event of terms conflict, client’s terms must be prioritized and should be adressed to fix adjust according to client's request.

22.   BB uses "feedback" features to improve quality of the sales meetings between providers and clients. 

23.   Providers accounts may be suspended or deleted if;

        a.       CP repeatedly claims MPI and does not reach out to the clients. 

        b.       CP repeatedly ignores or discard clients’ terms and dictates his or her own terms.

23.   BB may periodically sends survey emails to all type of users. By signing up, you agree that BB might solicits you for variety industry or our company related reasons.

 

 

Basic terms by using Bridge Basis LLC website and its service

 

·       Users must be 18 years old or older. BB cannot be held liable if the registrar falsifies information and attempt to start or pursue business relationship because of being under-aged and/or ineligible to become or being an authorized person.

·       Currently registration, opening an account and using website features are free for all users.

·       Merchant Service Providers (service providers and individual salesperson) have an access to use the marketplace once their registration is approved by BB. Marketplace claims can only be eligible for users who has approved provider under BB website

·       Users agree that they are the authorized personnel under the account that they open or sign in. Users hold all the liabilities of all the submitted information & uploaded documents under the same account.

·       Users agree that BB reserves the right to change this policy at any time without giving any notifications. It is users’ responsibility to revisit this page frequently and every time they access the BB platform.

Policy changes are effective immediately when updated and uploaded on the website unless it is stated inside the terms as specific time-scheduled start date. User’s continuation of using this website is declaring that users agree with all new/updated terms and conditions and policies

·       We reserve the right to modify, suspend or terminate features or operations to the whole site or portion of the site for any reasons temporarily or permanently.

·       Users agree that BB has right to freeze/cancel or permanently remove accounts due to breach of BB guidelines and our terms and conditions

·       Improper behavior such as rude, racist, abusive language, or violent content of any communications sent to or published by users will not be tolerated and may result in immediate suspension or account removal

·       User generated content: a published content added or created by users of this website.

Besides random picks for quality and safety measures, users agree that BB does not read/review and/or analyze all the content that was created by other users. All Users are entirely responsible for any of their own violations of copyright, trademark and other rights of the content that they upload and create under their account.

·       For additional Security measures BB may contact you as you are an authorized person and you must be able to verify the account.

·       All Users are not allowed to copy the content, image or writings of this website. It is strictly prohibited to copy and/or modify the upcoming business idea, trademark, copyrights of BB and use for any purposes in any web or non-web platform. Users agree that in the event of a breach of this concept, we have a right to take legal action against your business and the individuals who were involved in this action.

·       Users are not allowed to commercially exploit and/or make the content & idea available to the third-party individuals and/or business entities.

·       All ideas, content, and uniqueness of the provided service belong exclusively to BB.

We may also request complete current tax filings as if it may require by law.

 

Payment Information: (if applicable) When making payments and purchases, you agree that we collect payment information due to each transaction falling under the category of Card Not Present (CNP) transactions. We require certain payment information to use fraud reduction systems offered by the Card Associations such as AVS, CVV code, etc…

 

Technical Information: Gathered by both our system and third-party systems (such as CRM software that are only working under Bridge Basis LLC management), we may use collected information for effective website optimizations to increase overall benefits of users’ experience. Our system automatically gathers some technical information such as IP address, mobile device identifier or internet browser information to provide better user experience and security for all our users. We may also use cookies to provide more personalized user experience.

 

Internal Data Information: Information (except contact and company contact information) is gathered -such as zip code or monthly processing volume - for Bridge Basis LLC usage to increase efficiency of demographic and analytical studies of Bridge Basis LLC and for creating marketplace items.

USERS AS A “CLIENT”

All Information (both company and personal) that is provided at the beginning stage of registration will remain visible only to clients and to us.

***Clients may or may not choose to provide all the information during the submission of request.

 

All registry information is stored under “my account” folder. This folder has currently 2 sub-folders:

1.     All Requests: (Displayed under “my account” main screen)

Holds Information that has already been entered by authorized users when creating merchant service request(s).

***The information inside each request box is sealed and cannot be erased, undo, removed or updated for documentation purposes. The information has no expiration.

 

Users who can see this information:

This information is only visible to client and BB admin unless/until;

·       If chosen to re-posted by the same client

·       When the request is under claimed status

If The information if chosen to re-posted by same client

All information can become visible under marketplace except;

·       Contact Person Information

·       Company Information

 

When the request is under claimed status:

Since Claimant Provider (CP) had claimed the request, The CP receives all the current information via email immediately after they agree with all necessary terms by clicking “I agree” button under marketplace. The information including followings;

 

·       All uploaded documents (may or may not include)

·       BB generated processing data*

·       Terms that are created by the client

·       Contact person Information

·       Company Information

·       Processing Information

·       Terminal / POS System Information

·       Day / Time for proposal Review

 

* BB generated processing data: (Only applicable if Merchant Service Statement is submitted by the client) Following information is created by BB analysts;

·       Effective Rate

·       Monthly Processing

·       Average Ticket

·       # of transactions

·       Current Rate Type

 

2.     User Information: User’s information that has 2 sub-sections.

a.     Contact Person Information

b.     Company Information

 

Contact Information: Name, Last name, Company Name, Company Address, City, State, Zip Code, Phone #1, Phone #2, primary email, secondary email

Company Information: Business Location (if different than company address), ownership type, business type, industry type

*Client can access and update this information at any time.

*If once the information is updated under “my account”, it does not update any information that was previously entered when creating past requests.

 

Users who can see this information:

This information is only visible to the client and BB admin unless/until;

·       If request is claimed by a Claimant Provider

 

Purpose of using our website for providers: Creating an opportunity to start sales relationships with clients who are willing to work and/or negotiate with Merchant Service Providers.

 

USER AS A “PROVIDER”

All Information (both company and personal) that you provide at the stage of registration will remain visible only to the provider and to us.

All registry information is stored under the “Provider - my account” folder. This folder has currently 2 sub-folders;

1.     User Profile: User’s company information that has 3 sections;

·       Your Information: Company title, direct phone number

·       Company Information: Name, customer service phone number, address, weekly phone support schedule, Better Business Bureau Rating (if applicable)

 

Users who can see this information:

This information is only visible to the provider and BB admin unless/until;

·       You claim a Marketplace Items and become CP.

*** Provider’s current information auto emailed to those clients once provider claims a request and becomes an CP. Your information becomes sealed under the request that is claimed by you. It cannot be erased, undone, removed or updated for documentation purposes. The information has no expiration under the claimed item.

*** Provider can choose to update any/all profile information if/when needed under users account. Once the update is made, upcoming claims will receive provider’s updated information

 

Updating Your Information

Updating your personal and company information will be beneficial as you are the user of this website. We encourage you to update your information frequently. The BB team might ask you to verify some of the information that you update in order to protect the user's account. BB may store and archive your old personal and company information that you entered in order to protect all user’s rights.

 

How long do we keep information?

Your profile information remains under our platform as long as you choose to keep.

*** Clients who create requests for merchant services are held under the website for a minimum of 4 years. After 4 years, we may or may not store the information. Clients are encouraged to duplicate their documents in case of a need.
